Client: Purchasing organization as identified at checkout and in the intake form. By completing payment, you confirm that you have read and agree to all terms below. This Agreement becomes binding upon receipt of payment.

1. THE GOAL

Client is hiring HiringSky to conduct a specialized Sourcing Sprint to identify, professionally screen, and engage top-tier talent for the role identified in the Client's completed intake form. The role title and requirements confirmed during the Kickoff Call constitute the agreed scope of this search.

2. SCOPE OF SERVICES

HiringSky agrees to provide the following deliverables within five (5) business days of the completed Kickoff Call:

  • Kickoff Call: A 60-minute session conducted via video or phone to define the Ideal Candidate Profile, required skills, compensation parameters, and dealbreakers. Sourcing does not begin until this call is complete.

  • Sourcing and Outreach: Identification and direct engagement of passive candidates via LinkedIn Recruiter, niche professional networks, university talent programs, and direct outreach. All outreach is conducted by HiringSky on behalf of the search.

  • Screening: Preliminary professional screening of interested candidates evaluating skills, relevant experience, compensation alignment, and availability. Screening does not include background checks, reference checks, credential verification, or behavioral assessments.

  • The SkySelect Matrix: A curated shortlist of 3 to 5 screened, interested, and available candidates. Each profile includes: resume, LinkedIn URL, confirmed salary expectations, notice period, and HiringSky's written "Why They Fit" assessment.

  • Candidate Handoff: Direct introduction of shortlisted candidates to the Client's designated hiring contact for final interviews.

3. FEES AND PAYMENT POLICY

Flat Sourcing Fee: $499.00 per search. This fee covers an estimated 10 to 12 hour sprint cycle including kickoff, sourcing, screening, matrix construction, and candidate handoff. Payment is due in full before the sprint commences.

  • Option A — Fast Lane (Credit Card or P-Card): Client pays via secure checkout link. The Kickoff Call is scheduled and sourcing begins immediately upon payment confirmation.

  • Option B — Standard Lane (Invoice or Bill Pay): HiringSky issues a formal invoice to the Client's Finance Department. The project is placed in Pending status. Sourcing commences only after payment has fully cleared. HiringSky is not responsible for timeline delays resulting from Client-side invoice processing.

Late Fees: Balances on invoices for scope changes or add-on services unpaid after fifteen (15) calendar days are subject to a 5% late fee per 15-day period on the outstanding balance.

4. NATURE OF ENGAGEMENT

Client acknowledges that HiringSky is a Sourcing and Talent Advisory firm, not a traditional recruitment agency or staffing company.

  • Payment is for the Search, Not the Hire: The fee compensates HiringSky for the time, tools, and expertise required to source and screen candidates. The fee is fully earned upon delivery of the SkySelect Matrix, regardless of whether the Client extends an offer or completes a hire.

  • No Placement Guarantee: HiringSky does not guarantee that Client will hire a candidate from the Matrix. Hiring decisions rest solely with the Client. See Section 5 for the No-Ghosting Guarantee, which is a separate provision governing post-hire retention.

  • Background Check Disclaimer: HiringSky's screening evaluates professional skills and experience only. HiringSky does not conduct criminal background checks, credit checks, drug screenings, degree verifications, license verifications, or reference checks. Client is solely responsible for all pre-employment due diligence prior to extending any offer of employment, including compliance with the Fair Credit Reporting Act (FCRA) if third-party background screening is used.

  • Candidate Data Use Restriction: Client may use candidate information in the Matrix solely to evaluate candidates for the specific role identified in this Agreement. Client may not share, redistribute, or use candidate profiles for any other role, organization, or purpose without a separate written agreement and fee. Client agrees to destroy or permanently delete candidate profiles for candidates not selected for hire within sixty (60) days of the hiring decision. Retention beyond this period requires written consent from HiringSky.

5. THE NO-GHOSTING GUARANTEE

The Guarantee: This guarantee applies exclusively to post-hire retention during the first 30 days of employment — it does not affect or modify the No Placement Guarantee in Section 4. If a candidate presented in the SkySelect Matrix is hired by Client and subsequently (a) voluntarily resigns or (b) is Terminated for Cause within their first thirty (30) calendar days of employment, HiringSky will launch one (1) Replacement Sourcing Sprint for the same role at no additional cost.

Definition of Terminated for Cause: "Terminated for Cause" means dismissal resulting from documented misconduct, gross negligence, theft, fraud, or material violation of the Client's written workplace policies. It expressly excludes performance-based separation, role elimination, organizational restructuring, funding loss, or any involuntary separation not resulting from the candidate's own documented misconduct.

Guarantee Conditions:

  • Client must notify HiringSky in writing via email within five (5) business days of the candidate's last day of employment.

  • The Replacement Sprint must be for the original role profile as defined at Kickoff. Changes to the job description, title, salary range, or material requirements void this guarantee.

  • This guarantee applies to one (1) hired candidate per Sprint, specifically the first candidate hired from the delivered Matrix.

  • The guarantee is void if Client fails to comply with Section 6 responsibilities, including the 48-hour feedback requirement.

6. CLIENT RESPONSIBILITIES AND SCOPE PROTECTION

  • Service Hours: HiringSky services are performed Monday through Friday, 9:00 AM to 5:00 PM Eastern Time, excluding Federal Holidays. Communications and sourcing are not conducted on weekends.

  • The 48-Hour Feedback Rule: Client agrees to provide written feedback on submitted candidates within two (2) business days of Matrix delivery. If feedback is delayed, the Sprint Timeline is paused and extended day-for-day. HiringSky is not responsible for candidates who accept other offers due to Client delays.

  • The Job Description is Binding: The search is based exclusively on the role profile agreed upon at the Kickoff Call. Material changes after sourcing commences are governed by the Scope Change Policy below.

7. TERMINATION AND CANCELLATION

Either party may cancel this Agreement with written notice via email to contact@hiringsky.com. Cancellation is effective upon confirmed email receipt.

    Within 48 Hours of Purchase, Before Kickoff Call: Full refund minus the 5% payment processing fee, no questions asked. This window exists because we understand that purchasing decisions sometimes need a second look. Once your Kickoff Call occurs, this window closes permanently.

  • After the Kickoff Call but Before Matrix Delivery: No refund. Once your Kickoff Call occurs, HiringSky immediately begins active sourcing and screening on your behalf. The sprint is a time-intensive, human-driven process not a product sitting on a shelf. By the time most clients consider cancelling, the core work is already underway or complete. We would rather be honest about this upfront than create false expectations about a partial refund.

  • After Matrix Delivery: No refund. The Matrix is the deliverable. Once it is in your hands, our core obligation under this Agreement is complete.

    If WE cancel on YOU:

    If HiringSky cancels this Agreement for any reason other than Client conduct, you will receive a full refund of all fees paid, no processing fee deducted.

Termination for Conduct: HiringSky reserves the right to terminate immediately and without refund if Client requests hiring practices that violate federal law — including discrimination based on protected characteristics, misuse of candidate data, or any request that violates EEOC or ADA guidelines. This is non-negotiable and protects both parties.

What If You Need to Change the Role or Requirements?

We understand that hiring needs evolve. Here is how we handle changes after sourcing begins, so there are no surprises:

  • Role change due to a documented grant or funding update: $75 flat fee. We recalibrate the search based on your updated funding requirements. This rate exists specifically for mission-driven organizations navigating grant constraints.

  • Voluntary change to role criteria after sourcing has started: $250 Re-Calibration Fee. The original sprint is fulfilled as scoped, and a new sprint begins for the revised role upon payment.

Candidates may only be evaluated against criteria confirmed during the Kickoff Call. Rejection of candidates based on requirements not disclosed at Kickoff and not covered by a scope change request constitutes a material breach of this Agreement and voids the No-Ghosting Guarantee.

8. DISPUTE RESOLUTION

In the event of any dispute arising from this Agreement, both parties agree to attempt resolution in good faith through written notice to contact@hiringsky.com. If unresolved within thirty (30) calendar days of written notice, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association in Pinellas County, Florida, before either party may pursue litigation. Each party bears its own legal fees unless the arbitrator determines otherwise. Either party may bring eligible claims in small claims court without first submitting to arbitration.

9. FORCE MAJEURE

HiringSky shall not be in breach of this Agreement for any delay or failure to perform resulting from circumstances beyond its reasonable control, including illness or medical emergency, natural disasters, platform outages, cyberattacks, or acts of government. HiringSky will notify Client in writing within two (2) business days and provide a revised delivery timeline. Client may cancel without penalty if the revised timeline extends more than ten (10) business days beyond the original delivery date, subject to the refund terms in Section 7.

10. CONFIDENTIALITY

Both parties agree to hold in strict confidence all non-public business information received in connection with this Agreement — including organizational strategy, compensation structures, personnel matters, candidate data, and sourcing methodologies. This obligation survives termination of this Agreement and remains in effect for two (2) years following conclusion of the engagement. Exceptions apply to information that is publicly available, independently known prior to disclosure, or required to be disclosed by law or court order.

HiringSky Intellectual Property: HiringSky's sourcing methodologies, Boolean search strings, screening frameworks, and Matrix templates are HiringSky's proprietary intellectual property. Client receives a limited, non-exclusive license to use candidate data in the Matrix solely for the purpose of this hire. Client does not acquire rights to HiringSky's methodologies or templates and may not resell or replicate them.

11. COMPLIANCE AND HIRING AUTHORITY

HiringSky acts solely as a talent sourcing advisor. Client retains sole authority and final legal responsibility for all hiring decisions, employment offers, interview practices, and compliance with all applicable federal, state, and local employment laws — including Title VII of the Civil Rights Act, the Americans with Disabilities Act (ADA), the Age Discrimination in Employment Act (ADEA), the Fair Credit Reporting Act (FCRA), and all applicable EEOC guidelines.

12. LIMITATION OF LIABILITY

HiringSky's total aggregate liability under this Agreement shall not exceed the total fees paid by Client for the applicable Sprint. HiringSky is not liable for indirect, incidental, consequential, or punitive damages; lost profits; legal fees; or the future performance, conduct, attendance, or illegal acts of any candidate hired by Client.

13. OFFICIAL COMMUNICATIONS

All official notices, cancellations, guarantee claims, and dispute notifications must be delivered via email to contact@hiringsky.com. Notices sent via text message, phone call, social media, or verbal communication do not constitute official notice under this Agreement. Email notices are deemed received within twenty-four (24) business hours of sending.

14. GENERAL PROVISIONS

  • Independent Contractor: HiringSky is an independent contractor. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency between the parties.

  • Governing Law: This Agreement is governed by the laws of the State of Florida, without regard to conflict of law principles.

  • Venue: Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Pinellas County, Florida.

  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.

  • Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.

  • Amendment: This Agreement may only be amended by a written document signed by authorized representatives of both parties.

  • Entire Agreement: This document constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or agreements.

  • Electronic Acceptance: Completion of payment on the HiringSky checkout page constitutes Client's electronic acceptance of this Agreement in full. This clickwrap acceptance is legally binding and equivalent to a written signature.

15. ACCEPTANCE

By completing payment on the HiringSky checkout page, Client confirms they have read, understood, and agreed to all terms of this Agreement. This Agreement is effective as of the date and time payment is received.
